Stehlin & Associés advised EPC GROUPE on the sale of a majority stake to European private equity group Argos Wityu

Stehlin & Associés advised EPC GROUPE in respect to the sale of a majority stake to European private equity group Argos Wityu. Argos Wityu acquired the shares of the founding family holding two-thirds of the capital of EPC GROUPE, valued at approximately € 50 million, through the « 4 December SAS » holding company, which will have to accommodate part of the management and some historical minority shareholders.

The French company EPC GROUPE, listed on the B compartment of Euronext, is one of the world leaders in the manufacture, storage and distribution of explosives, particularly in the sector of drilling, mining and demolition. For 125 years, EPC GROUP has been recognized for providing effective solutions, tailored services, technological innovations and a high level of service to its customers. As such, its client portfolio includes leading names in the mining, cement, aggregates, civil engineering and defence sectors.

EPC GROUP was founded in 1893 in the purpose of to producing, storing and distributing civilian explosives. Since 2000, the company has diversified to demolition, logistics and diesel additives, throughout its forty subsidiaries, 13 plants and 72 warehouses, located in some twenty countries around the 5 continents.

The Stehlin & Associés team having adsvised EPC GROUPE in respect to the legal and social VDD was led by partner Anna-Christina Chaves. Were also involved, in respect to the employment law aspects, senior associate Sabrina Belkacemi, partner Frédéric Lecomte, assisted by associate Mélina Charlot, on the commercial and intellectual property law aspects, partner Svetlana Tokoucheva, on the corporate aspects, as well as of counsel Diane Dumas, and associate Guillaume Goetz-Charlier, in respect to the commercial litigation.
